Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Microhill LLC, doing business as EchoPai ("EchoPai," "we," "us," or "our"), governing your access to and use of the EchoPai platform, website, mobile application, and all related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Description of Service
EchoPai is a financial intelligence aggregation platform that provides real-time financial news, institutional market commentary, market sentiment analysis, and hot stock tracking tools (collectively, "Content"). The Service is offered on a freemium subscription basis.
EchoPai aggregates Content from third-party sources including news outlets, financial data providers, and institutional research distributors. We do not originate or independently verify all Content presented on the platform.
Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction, if higher);
- Have the legal capacity to enter into a binding contract;
- Not be a person barred from receiving the Service under applicable law, including U.S. export control or sanctions laws; and
- Comply with all applicable local, state, national, and international laws and regulations.
The Service is not directed to individuals located in jurisdictions where such services are prohibited or restricted by law. Users accessing the Service from outside the United States do so on their own initiative and are responsible for compliance with local laws.
Account Registration and Security
4.1 Account Creation
To access certain features, you must register for an account by providing a valid email address and creating a password, or by authenticating through a supported third-party identity provider (e.g., Google OAuth). You agree to provide accurate, current, and complete information and to keep your account information up to date.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to: (a) use a strong, unique password; (b) notify us immediately at [email protected] of any unauthorized access or security breach; and (c) ensure you log out of your account after each session on shared devices.
EchoPai will not be liable for any loss or damage arising from your failure to safeguard your credentials.
4.3 One Account Per User
Each subscription is for a single natural person's use. You may not share, transfer, sell, or sublicense your account credentials to any third party. Accounts used for commercial redistribution or operated by automated systems are strictly prohibited without prior written authorization.
Subscriptions and Billing
5.1 Free Trial
New registered users receive a 7-day free trial of PRO features commencing upon account creation. No payment information is required to start a trial. Upon expiration of the trial period, your account automatically reverts to the free tier without any charge or automatic renewal.
5.2 PRO Subscription Plans
EchoPai offers the following one-time, non-recurring PRO subscription plans:
- Monthly Plan: 30-day access — $15.00 USD (approximately ¥80 CNY)
- Annual Plan: 365-day access — $120.00 USD (approximately ¥800 CNY)
All plans are non-auto-renewing. Access expires at the end of the purchased period, at which point your account reverts to the free tier. No surprise charges.
5.3 Payment Processing
Credit and debit card payments are processed by Stripe, Inc., a third-party payment processor. By submitting payment information, you authorize EchoPai to charge the applicable fees through Stripe. EchoPai does not store your full payment card details. Your use of Stripe is subject to Stripe's Services Agreement.
5.4 Taxes
Displayed prices exclude applicable taxes. You are responsible for any sales tax, value-added tax, goods and services tax, or similar taxes imposed by your jurisdiction on your purchase.
5.5 Refund Policy
Due to the digital and immediately accessible nature of the Service, all purchases are generally non-refundable. However, if EchoPai experiences a verified service outage rendering the Service wholly inaccessible for more than 72 consecutive hours during your paid subscription period, you may contact [email protected] to request a pro-rated credit or subscription extension. Refund requests based on dissatisfaction with Content or market outcomes will not be granted.
5.6 Price Changes
EchoPai reserves the right to modify subscription prices at any time. Price changes will not affect active subscriptions already purchased; they will apply only to future purchases made after the effective date of the change.
Intellectual Property Rights
6.1 EchoPai Content
The Service and its original content, features, functionality, software, algorithms, user interface design, and trade dress are and will remain the exclusive property of EchoPai and its licensors, protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Third-Party Content
Content aggregated from third-party sources (news articles, market data, research reports) is owned by the respective third-party publishers and data providers. EchoPai displays such Content under license, syndication agreements, or applicable fair use principles.
6.3 Limited License to Users
Subject to your compliance with these Terms and payment of applicable fees, EchoPai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial informational purposes only.
6.4 Restrictions
You may not, without our prior written consent:
- Copy, reproduce, distribute, or create derivative works based on the Service or its Content;
- Scrape, crawl, spider, or use automated systems to extract data from the Service;
- Frame or mirror the Service on any other website or platform;
- Reverse engineer, decompile, or disassemble any software component of the Service;
- Sell, resell, or commercially exploit access to the Service or its Content;
- Remove or alter any proprietary notices or labels on the Service.
6.5 DMCA / Copyright Complaints
If you believe Content on the Service infringes your copyright, please send a notice to [email protected] that includes: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Service; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury. We will respond in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512).
Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation;
- Engage in, facilitate, or promote insider trading, market manipulation, securities fraud, or any conduct prohibited under the Securities Exchange Act of 1934, the Securities Act of 1933, or any other applicable securities law;
- Transmit any unsolicited commercial communications, spam, or chain letters;
- Impersonate any person or entity or falsely represent your affiliation with any person or entity;
- Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functioning of any software or hardware;
- Attempt to gain unauthorized access to the Service, its servers, or related networks;
- Conduct denial-of-service attacks or otherwise interfere with the Service's operation;
- Collect or harvest personal data of other users without their consent;
- Use the Service to spread false or misleading financial information with intent to defraud;
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement authorities.

EchoPai is not a registered investment advisor, broker-dealer, or financial planner under the Investment Advisers Act of 1940, the Securities Exchange Act of 1934, or any other applicable law. We do not provide personalized investment recommendations.
Past performance of any security, market, or financial instrument discussed on the Service is not indicative of future results. All investments involve risk, including the possible loss of principal. You should consult a licensed financial professional before making any investment decision.
Third-party views, research, and commentary displayed on the Service reflect the opinions of their respective authors and do not represent the views of EchoPai. EchoPai does not endorse, guarantee, or take responsibility for the accuracy or completeness of any third-party Content.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
EchoPai does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any Content will be accurate, complete, reliable, current, or timely; (c) defects will be corrected; (d) the Service or servers that make it available are free of viruses or harmful components; or (e) the Service will meet your specific requirements.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHOPAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, INVESTMENT LOSSES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Service;
- Any Content obtained through the Service;
- Unauthorized access to or alteration of your data;
- Investment decisions made in reliance on information from the Service; or
- Any other matter relating to the Service.
IN NO EVENT SHALL ECHOPAI'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ECHOPAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless EchoPai and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) any investment or financial decision you make based on Content from the Service; or (e) any claim that your use of the Service caused damage to a third party.
Dispute Resolution and Binding Arbitration
12.1 Informal Resolution First
Before initiating any formal dispute proceeding, you agree to contact EchoPai at [email protected] and attempt to resolve the dispute informally for at least 30 days.
12.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.3 Class Action Waiver
YOU AND ECHOPAI EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All claims must be brought in each party's individual capacity and not as a plaintiff or class member in any purported class action.
12.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
12.5 Opt-Out Right
You may opt out of the arbitration agreement within 30 days of first accepting these Terms by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." Opting out does not affect any other provision of these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. For any disputes not subject to arbitration under Section 12, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Modifications to Terms
EchoPai reserves the right to modify these Terms at any time. We will provide notice of material changes by: (a) updating the "Last Updated" date at the top of this page; and (b) sending an email notification to your registered address at least 7 days before the changes take effect.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
Termination
15.1 Termination by You
You may stop using the Service and close your account at any time by contacting [email protected]. Account closure does not entitle you to a refund for any prepaid subscription period unless otherwise provided in Section 5.5.
15.2 Termination by EchoPai
We may suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to: (a) violation of these Terms; (b) fraudulent, illegal, or abusive use; (c) non-payment; or (d) at our sole discretion. Upon termination, your license to use the Service immediately ceases.
15.3 Survival
Sections 6, 7, 8, 9, 10, 11, 12, and 13 shall survive any termination or expiration of these Terms.
